1. Acceptance of These Terms

These Terms and Conditions (“Terms”) form a binding legal agreement between you (“you” or “User”) and Malcolm Kingley together with the Kingley Foundation, a faith-based ministry registered in the State of Washington (collectively, the “Foundation,” “we,” “us,” or “our”). By accessing, browsing, downloading from, watching any video on, or otherwise using www.soulsense.life (the “Site”), or by downloading, reading, listening to, or otherwise engaging with the book Soul-Sense, the related video series, the closing meditation, the audio narration, or any other materials made available by us (collectively with the Site, the “Service”), you agree to be bound by these Terms, our Disclaimer, and our Privacy Policy, each of which is incorporated here by reference. If you do not agree, do not use the Service.

2. Eligibility

The Service is intended for users who are at least 18 years of age, or the age of legal majority in their jurisdiction, whichever is greater. By using the Service you represent and warrant that you meet this requirement and have full legal capacity to enter into these Terms.

3. Religious Nature of the Service; No Professional Advice

The Service is offered exclusively as a work of religious, theological, and metaphysical expression in the exercise of religious liberty. Nothing in the Service constitutes medical, psychological, mental-health, legal, financial, tax, or other professional advice, and nothing in the Service shall be construed as creating any professional relationship between you and the Foundation. The full Disclaimer is incorporated into these Terms as if fully restated herein.

4. License to Use the Service

Subject to your continuing compliance with these Terms, the Foundation grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access the Site and to download a single copy of the book Soul-Sense in PDF form for your personal, non-commercial, non-public use only. All other rights are reserved.

5. Intellectual Property

All content made available through the Service, including but not limited to the text of Soul-Sense, the video series, the audio recordings, the meditations, the photography, the typography, the layout, the trade dress, the user interface, the underlying code, and the trademarks, service marks, logos, and trade names of the Foundation, including without limitation the marks “Kingley Foundation,” “The Kingley Foundation,” and “Soul-Sense” (collectively, the “Content”), is owned by, or licensed to, the Foundation and is protected by United States and international copyright, trademark, and other intellectual property laws. Quotations from the writings of Mary Baker Eddy are reproduced from works in the public domain.

Except as expressly permitted in Section 4 above, you may not: (a) copy, reproduce, republish, post, broadcast, transmit, perform, display, distribute, sell, license, sublicense, or otherwise exploit any Content; (b) create derivative works of, modify, adapt, translate, reverse engineer, decompile, or disassemble any Content; (c) remove, alter, or obscure any copyright, trademark, or other proprietary notice; (d) use any Content for commercial purposes, advertising, training of any machine-learning or artificial-intelligence model, data scraping, text or data mining, or competitive analysis; or (e) frame, mirror, or otherwise incorporate any portion of the Service into any other website, application, or product without our prior written consent.

6. Prohibited Conduct

You agree that you will not, and will not permit any third party to:

  • use the Service in violation of any applicable law, regulation, or third-party right;
  • misrepresent the Service or your relationship with the Foundation, or hold yourself out as an agent, representative, practitioner, healer, counselor, or spokesperson of the Foundation;
  • impersonate Malcolm Kingley, the Foundation, or any other person or entity;
  • attempt to gain unauthorized access to the Service, its servers, or any related systems or data;
  • introduce viruses, worms, trojan horses, or any other malicious code, or otherwise interfere with the integrity, security, or operation of the Service;
  • use any automated means (including bots, crawlers, scrapers, or harvesters) to access or collect data from the Service without our prior written consent; or
  • use the Service in any manner that could disable, overburden, damage, or impair it, or interfere with any other party’s use of the Service.

7. Donations

Donations made to the Kingley Foundation are voluntary contributions to a 508(c)(1)(A) faith-based ministry and are not made in exchange for goods or services. The Foundation makes no representation or warranty regarding the tax treatment of any donation in your jurisdiction; you are responsible for consulting your own tax advisor. Donations are generally non-refundable except as required by applicable law or in our sole discretion.

8. Third-Party Services and Links

The Service may contain links to, or be delivered through, websites, platforms, or services operated by third parties (including, without limitation, video hosting providers such as Vimeo and donation or payment processors). The Foundation does not control and is not responsible for the content, policies, security, or practices of any third party, and your dealings with any third party are solely between you and that third party.

9. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, THE FOUNDATION EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MALCOLM KINGLEY, THE KINGLEY FOUNDATION, OR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, TRUSTEES, EMPLOYEES, VOLUNTEERS, CONTRACTORS, AGENTS, ASSIGNS, HEIRS, OR SUCCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES; IN SUCH JURISDICTIONS OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless Malcolm Kingley, the Kingley Foundation, and their respective officers, directors, trustees, employees, volunteers, contractors, agents, assigns, heirs, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way related to: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any decision or action you take, or fail to take, in reliance on the Service.

12. Governing Law; Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States of America, without regard to its conflict-of-laws principles. You agree that the state and federal courts located in King County, Washington shall have exclusive jurisdiction over any dispute, claim, or controversy arising out of or relating to these Terms or the Service, and you irrevocably consent to the personal jurisdiction and venue of those courts.

13. Time Limit on Claims

Any claim or cause of action you may have arising out of or relating to the Service or these Terms must be commenced within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred.

14. Changes to the Service or These Terms

We may modify, suspend, or discontinue the Service, in whole or in part, at any time and without notice. We may also revise these Terms from time to time by posting the revised version on the Site, and any such revision becomes effective upon posting. Your continued use of the Service following any such revision constitutes your acceptance of the revised Terms.

15. Severability; Entire Agreement

If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. These Terms, together with the Disclaimer and the Privacy Policy, constitute the entire agreement between you and the Foundation with respect to the Service and supersede any prior agreements between you and the Foundation regarding the same.
